These Terms of Service ("Terms") form a binding agreement between AICY, Inc. ("AICY", "Numen", "we", "us") and the entity or person ("Customer", "you") that accesses or uses Numen — our AI operating system for finance, including the Numen Plan and Numen Books modules, our websites, and related services (the "Services"). By creating an account or using the Services, you agree to these Terms.
1. Definitions
"Customer Content" means the data you upload or connect and the outputs generated from it.
"Workspace" means a billable environment within the Services.
"Credits" means the usage units consumed by chat, analysis, deep-analysis, and report actions.
2. Accounts & eligibility
You must provide accurate registration details and are responsible for all activity under your account and for safeguarding your credentials. The Services are for business use by users aged 18 or older with authority to bind the Customer.
3. Subscriptions, credits & billing
Paid plans are billed per workspace on a monthly or annual, pre-paid basis, and renew automatically until cancelled.
Credits included with a plan reset each billing period and do not roll over unless stated. When credits are exhausted, credit-based actions pause until the next period or an upgrade.
Fees are exclusive of taxes. You authorize us and our payment providers to charge your payment method.
Beyond included credits, additional usage is billed pay-as-you-go at the rates published on our pricing page, subject to a monthly spending cap you can configure.
Fair use. Plans described as "unlimited" (including Numen Books) cover the normal business operation of the licensed workspace — journals, closings, cost accounting, analyses, and reports. Usage far outside normal operation (such as programmatic bulk generation, load testing, resale of capacity, or processing for entities not licensed as workspaces) may, after notice, be shifted to standard models. Access to your ledger — viewing, manual editing, and export — is never restricted.
We may change pricing with prior notice, effective at your next renewal.
4. Free plan, trials & money-back
We may offer a free plan and paid plans with a 30-day money-back guarantee as described at checkout. Free and beta features are provided "as is" and may change or end at any time.
5. Customer Content & ownership
As between the parties, you own all Customer Content. You grant us a limited, worldwide license to host, process, and transmit Customer Content solely to provide and support the Services. We process Customer Content as your processor and do not use it to train models for other customers. You are responsible for the accuracy and legality of Customer Content and for having the rights to submit it.
6. Acceptable use
You agree not to: (a) reverse engineer, resell, or exceed authorized use of the Services; (b) upload unlawful, infringing, or malicious content; (c) attempt to gain unauthorized access to or disrupt the Services; or (d) use the Services to build a competing product.
7. Intellectual property
The Services, software, and all related intellectual property are and remain owned by AICY. These Terms grant no rights other than the limited right to use the Services during your subscription.
8. AI outputs; no professional advice
Numen generates forecasts, analyses, and commentary using automated systems and third-party models. Outputs may be incomplete or inaccurate and are provided for informational purposes only. They are not accounting, audit, tax, legal, or investment advice, and must be reviewed by qualified personnel before any decision. You are solely responsible for decisions made using the Services.
9. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.
10. Warranties & disclaimers
We will provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of the Services will not exceed the fees you paid in the twelve (12) months before the event giving rise to the claim.
12. Indemnification
You will defend and indemnify AICY against claims arising from your Customer Content or your breach of these Terms, and we will defend you against third-party claims that the Services infringe intellectual-property rights, each subject to customary conditions.
13. Term & termination
These Terms apply while you use the Services. Either party may terminate for material breach not cured within 30 days. You may cancel at any time; cancellation stops future renewals. On termination, your right to use the Services ends and we will make Customer Content available for export for a limited period before deletion.
14. Governing law & disputes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws rules. The Seoul Central District Court will have exclusive jurisdiction, unless mandatory local law provides otherwise.
15. Changes
We may update these Terms with prior notice. Material changes take effect no earlier than 30 days after notice; continued use after the effective date constitutes acceptance.
